These Terms and Conditions govern your use of our website and, where applicable, our provision of web design and related digital services.

2. Acceptance of These Terms

By using our website, you agree to comply with these Terms and Conditions.

If you engage Fibonacci HQ Ltd to provide services, the specific terms of your project will also be set out in the quotation, proposal, service agreement or other contract signed or otherwise agreed between you and us.

Please read the relevant contract carefully before agreeing to proceed.

3. Our Services

Fibonacci HQ Ltd provides web design and related digital services. Depending on the project and the agreed contract, these services may include:

  • Website design and development.

  • Website updates, improvements and redesigns.

  • Website configuration and integration with third-party services.

  • Related digital and technical services agreed with the client.

The exact services, deliverables, specifications and timescales for each project will be confirmed in the relevant contract.

Any service not expressly included in the agreed scope may require a separate quotation or written agreement.

4. Quotes and Project Agreements

Quotes and proposals will describe the proposed work, price and other relevant project details.

A project will proceed once the relevant contract or agreement has been accepted in the manner specified by the parties.

If these website Terms and Conditions conflict with a project-specific contract, the project-specific contract will take precedence in relation to that project to the extent of the conflict.

Changes to an agreed project must be agreed in writing. Additional work may affect the price, deliverables and completion dates.

5. Payment Terms

All project payments are governed by the contract signed or otherwise agreed between Fibonacci HQ Ltd and the client.

The applicable contract will set out the agreed fees, payment schedule, payment methods, due dates and any other payment conditions.

Clients must make payments in accordance with their agreed contract.

If a payment is overdue, we may take reasonable steps to recover the outstanding amount and, where permitted by the contract and applicable law, suspend work or withhold delivery until the issue is resolved.

Any interest, recovery costs or other charges will only apply where permitted by the relevant contract and applicable law.

Nothing in these Terms and Conditions changes the payment arrangements already agreed in a client's contract.

6. Client Responsibilities

Clients agree to:

  • Provide accurate information and instructions needed for the project.

  • Supply required text, images, branding, account access and other materials in a timely manner.

  • Ensure that they have the necessary rights and permissions to use materials supplied to us.

  • Review designs, content and project deliverables within reasonable or agreed timescales.

  • Respond to requests for clarification, feedback or approval.

  • Ensure that any information supplied to us is lawful and does not infringe third-party rights.

Delays in receiving information, materials, feedback or approvals may affect the project timeline. We will communicate material delays and any resulting changes to the project schedule.

7. Scope of Work and Revisions

The agreed project contract will define the scope of work and, where applicable, the number of revisions included.

Requests outside the agreed scope may be treated as additional work and may require an additional fee and revised delivery date. We will seek agreement on the relevant changes before undertaking additional chargeable work.

We will make reasonable efforts to deliver the agreed work in accordance with the project specifications.

8. Timelines and Delivery

Any project milestones or delivery dates will be set out in the relevant contract or agreed in writing.

Where dates are estimates, we will make reasonable efforts to meet them and communicate significant delays.

Project schedules may be affected by late client responses, changes to the agreed scope, third-party services or circumstances outside our reasonable control.

This section does not exclude any rights or remedies available to a client under the applicable contract or law.

9. Review and Approval

Where a project requires client review or approval, the client is responsible for checking that the deliverables meet the agreed requirements before providing approval.

Clients should identify errors, omissions or requested changes clearly and promptly.

Approval does not remove any rights that cannot legally be excluded, including applicable statutory rights relating to the services supplied.

10. Intellectual Property

Unless the relevant contract states otherwise, each party retains ownership of the intellectual property it owned before the project began.

The client is responsible for ensuring it has the right to use any content, images, logos, branding, copy or other materials supplied to us.

Ownership of, or rights to use, project deliverables created by Fibonacci HQ Ltd will be governed by the relevant project contract. Where the contract does not specify this, the parties should agree the applicable ownership and usage rights in writing.

Third-party themes, fonts, plugins, software, stock assets and other licensed materials remain subject to their respective licence terms.

Nothing in these Terms and Conditions transfers ownership of third-party intellectual property to either party where that ownership does not exist.

11. Portfolio and Promotional Use

Unless otherwise agreed in writing, Fibonacci HQ Ltd may identify a completed project in its portfolio or marketing materials, including by displaying the website or referring to the client's business.

We will respect any confidentiality obligations and reasonable restrictions agreed in the relevant contract.

If a project is confidential or must not be publicised, the client should notify us in writing and ensure that the restriction is included in the project agreement.

12. Third-Party Services and Hosting

A website may rely on third-party services, including hosting providers, domain registrars, content management systems, payment processors, plugins, APIs and other software.

Those services may be subject to separate terms, fees, availability requirements and privacy practices.

Unless expressly included in the agreed contract, Fibonacci HQ Ltd does not provide or guarantee the continued availability, pricing, functionality or policies of independent third-party services.

We will not be responsible for third-party failures to the extent permitted by law and subject to any obligations we have expressly accepted under the relevant contract.

13. Maintenance and Ongoing Support

Website maintenance, updates, security monitoring, backups, hosting, troubleshooting and ongoing support are included only where agreed in the relevant contract.

Unless expressly agreed, completion of a website project does not automatically include ongoing maintenance or support.

Any separate maintenance or support arrangement will be governed by its own agreed scope, fees and conditions.

14. Website Performance, SEO and Security

We will provide the services described in the applicable contract with reasonable care and skill and in accordance with any relevant legal requirements.

Unless a particular result is expressly agreed in writing, we do not guarantee specific search engine rankings, website traffic, sales, conversion rates, revenue, business growth or uninterrupted website availability.

Website performance and search visibility can be affected by factors outside our control, including search engine changes, hosting infrastructure, third-party software, user behaviour and competition.

Clients remain responsible for maintaining any accounts, licences or third-party services registered in their own name, except where the relevant contract states otherwise.

15. Client Content and Legal Compliance

Clients are responsible for ensuring that materials and instructions they provide are accurate, lawful and appropriately licensed.

Clients must not knowingly ask us to publish content that infringes intellectual property rights, violates applicable law or unlawfully harms another person.

Unless expressly included in the agreed services, Fibonacci HQ Ltd does not provide legal, tax or regulatory advice. Clients are responsible for obtaining any professional advice needed to ensure their own business and website comply with relevant requirements.

This does not remove any responsibility Fibonacci HQ Ltd has under applicable law or the relevant contract.

16. Privacy and Cookies

Our collection and use of personal data are explained in our separate Privacy Policy.

Our use of cookies and similar technologies is explained in our separate Cookie Policy.

These policies should be read alongside these Terms and Conditions where relevant.

17. Confidentiality

Each party will take reasonable steps to protect confidential information received from the other party in connection with a project.

Confidential information should only be used for the purpose for which it was disclosed, unless the disclosing party agrees otherwise or disclosure is required by law.

This section does not apply to information that is lawfully public, already known to the receiving party without a confidentiality obligation, independently developed or lawfully obtained from another source.

Any more specific confidentiality obligations in a signed project contract will continue to apply.

18. Cancellations and Termination

Cancellation, termination, refunds and any fees arising from ending a project will be governed by the relevant project contract and applicable law.

Where a contract does not specify the process for ending the engagement, the parties should discuss the position in good faith and confirm any agreed arrangements in writing.

If a client materially breaches an agreement, we may exercise any rights available under that agreement and applicable law, which may include suspending work or terminating the engagement where justified.

Any amounts due following cancellation or termination must be determined in accordance with the contract and applicable law. Nothing in these Terms and Conditions gives either party a right to retain payments or impose charges where doing so would be unlawful.

19. Consumer Cancellation Rights

Where a client is a consumer, additional legal protections may apply, including statutory cancellation rights for certain contracts made online, at a distance or away from business premises.

The availability and effect of these rights depend on the circumstances and the applicable law.

Nothing in these Terms and Conditions is intended to remove or restrict a consumer's statutory rights. Where a consumer asks us to begin work during a statutory cancellation period, any required request, acknowledgement or consent will be handled in accordance with applicable law.

20. Limitation of Liability

Nothing in these Terms and Conditions excludes or limits liability where it would be unlawful to do so.

Subject to that limitation, Fibonacci HQ Ltd will only be liable for losses to the extent provided under the relevant contract and applicable law.

To the extent permitted by law, we will not be liable for losses arising from matters outside our reasonable control or from a client's failure to meet their responsibilities, where those matters caused the relevant loss.

Where legally permitted, we will not be liable for indirect or consequential losses that were not reasonably foreseeable when the relevant contract was entered into.

Nothing in this section excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot legally be excluded or limited. Nothing in this section removes any statutory rights or remedies available to consumers.

Any additional liability limits agreed for a particular project must be set out in the relevant contract and comply with applicable law.

21. Events Outside Our Control

Neither party will be treated as being in breach of its obligations to the extent that performance is prevented or materially delayed by circumstances beyond its reasonable control.

Examples may include major service outages, natural disasters, government action, widespread network failures or other exceptional events.

The affected party should notify the other party as soon as reasonably practicable and take reasonable steps to reduce the impact.

This section does not remove any rights or remedies that apply under the relevant contract or law.

22. Changes to These Terms

We may update these website Terms and Conditions from time to time.

The latest version will be published on this page with its updated date. Changes to these website terms will apply from publication to future use of the website, where appropriate.

A change to these website terms will not automatically amend an existing signed project contract. Changes to an existing contract must be made in accordance with that contract and applicable law.

23. Website Use

You must not misuse our website, attempt to gain unauthorised access to it or its systems, knowingly introduce malicious software, or use the website in a way that violates applicable law.

We may restrict or suspend access where reasonably necessary to protect our website, systems, users or business.

We make reasonable efforts to keep our website available and its information up to date, but we do not guarantee uninterrupted availability or that every item of general website information will always be complete or current.

24. Complaints and Disputes

If you have a concern about our services, please contact us using the contact details below and provide sufficient information for us to investigate.

We will make reasonable efforts to understand the issue and work towards a fair resolution.

If a dispute cannot be resolved informally, either party may pursue any remedies available under the relevant contract and applicable law.

Nothing in these Terms and Conditions prevents a consumer from exercising their legal rights or accessing a court or other legally available dispute-resolution process.

25. Governing Law

These Terms and Conditions and any non-contractual obligations arising from them will be governed by the laws of England and Wales, subject to any mandatory legal protections that apply.

The courts of that jurisdiction will have jurisdiction to the extent permitted by law. Where a consumer is entitled to bring proceedings in another court or rely on mandatory protections in their place of residence, nothing in this section takes away those rights.

26. Severability

If any part of these Terms and Conditions is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
